Statutes of the German Central Committee against Tuberculosis
I. Name, registered office, purpose, governing bodies and financial year
The association bears the name "German Central Committee against Tuberculosis e.V.". It is entered in the register of associations.
The association is based in Berlin.
The task of the Central Committee is to encourage and promote suitable measures for the prevention and control of tuberculosis and non-tuberculous mycobacteria in the Federal Republic of Germany. It pursues exclusively and directly charitable purposes within the meaning of the section "Tax-privileged purposes" of the German Tax Code. The purpose of the association is the promotion of public health care. The Central Committee is selflessly active; it does not primarily pursue its own economic purposes.
The Central Committee maintains relations with domestic and foreign institutions that pursue the same goals.
The organs of the Central Committee are the General Assembly and the Presidium.
The financial year is the calendar year.
II Membership
Members of the Central Committee can be: The Federal Republic of Germany, the German federal states, the state associations for the control of tuberculosis, the German Society for Pneumology and Respiratory Medicine, the Board of Trustees "Tuberculosis in the World" and other legal entities under public and private law whose tasks include the prevention and control of tuberculosis.
The financial year is the calendar year.
The resignation of a member must be declared by registered letter with six months' notice to the end of the calendar year.
A member may be expelled for good cause by resolution of the General Meeting; good cause also includes non-payment of the membership fee despite two written reminders; the obligation to pay the membership fee due does not expire as a result of expulsion.
The members of the Central Committee pay membership fees or corresponding donations, which are determined according to a specific key in the budget.
Funds may only be used for statutory purposes. Members shall not receive any other benefits from the funds of the Central Committee.
No person may benefit from expenses that are alien to the purpose of the Central Committee or from disproportionately high remuneration.
Individuals who have rendered outstanding services to the fight against tuberculosis can become honorary members. The election is made by the General Assembly on the recommendation of the Presidium.
III General Meeting
The General Meeting is responsible for
the election of the Vice President, the Secretary General, the Treasurer, the Assessor and two auditors;
accepting the report of the Chairman and the annual report of the Secretary General, the audit report and granting discharge;
the adoption of the budget including the key in accordance with § 4;
amendments to the Articles of Association and the resolution on the dissolution of the Association;
passing resolutions on matters submitted to it by the Executive Committee;
The admission and exclusion of members;
The election of honorary members proposed by the Presidium.
At least one general meeting is held each year.
The Executive Committee determines the time, place and agenda of the General Assembly. The invitation and agenda must be posted by the office at least four weeks before the date of the meeting.
Motions to amend or supplement the agenda must be submitted to the office by at least 1/3 of the members two weeks before the date of the meeting.
An extraordinary general meeting must be convened if it is requested in writing by half of the votes of all members, stating the reason and purpose.
Each member has one vote at the General Meeting.
The General Meeting shall constitute a quorum if more than half of the members are represented; if this is not the case, a new General Meeting shall be convened which shall constitute a quorum irrespective of the number of members represented. Reference must be made to this provision in the invitation to the General Meeting.
Resolutions are passed by a simple majority of the members represented. The vote can be transferred by written proxy. A tie vote is considered a rejection.
Resolutions on:
1. an amendment to the Articles of Association and
2. the dissolution of the Association require the approval of two thirds of all members.
The Secretary General is the secretary of the General Meeting. The minutes of the General Meeting must also be signed by the President.
IV. Presidium
The Executive Committee prepares the General Meeting and monitors the implementation of the resolutions.
It decides on the use of funds within the framework of the budget adopted by the General Meeting and performs the other tasks assigned to it in the Articles of Association.
Resolutions of the Executive Committee are passed by a simple majority of votes. A tie vote is considered a rejection. Each member has one vote. The vote is not transferable. Resolutions can also be passed by written vote, provided no member objects.
The Executive Committee consists of:
- the President
- Vice president
- Secretary General
- Treasurer
- Assessor
- and a representative appointed by the Federal Government in accordance with § 12 (3)
The President is the respective President of the German Society for Pneumology and Respiratory Medicine.
The Vice President should be a person with experience in the field of public health.
The Secretary General must be a physician experienced in the fight against tuberculosis.
The treasurer should be a member with experience in budgetary and treasury matters.
For the duration of the granting of federal subsidies, a representative of the federal government shall be a member of the Executive Committee in an advisory capacity. The representative is appointed by the Federal Ministry responsible for healthcare.
The Executive Board within the meaning of Section 26 BGB is made up of the President, the Vice President, the General Secretary, the Treasurer and one assessor. Two of them, including the President or the Vice President, represent the Association jointly.
The Vice President, the Secretary General, the Treasurer and the Assessor are elected by the General Assembly. Their term of office lasts 4 years. Re-election is permitted. The Executive Committee remains in office until the new Executive Committee takes office; if an elected member leaves prematurely, a by-election is required for the remaining term of office.
V. Secretary General
The Secretary General is the head of the office and is responsible to the Executive Committee for managing day-to-day business in accordance with the resolutions of the General Assembly and the Executive Committee.
VI Committee of Experts
The Executive Committee may appoint committees of experts to deal with issues.
If necessary, the Committee of Experts is convened and chaired by the Secretary General, unless the Presidium decides otherwise.
The Committee has the task of drawing up proposals, recommendations and guidelines. In agreement with the Secretary General, the Committee may consult additional experts for individual projects.
The proposals, opinions and guidelines drawn up by the Committee of Experts require the approval of the Executive Committee before publication.
VII DZK Tuberculosis Prize
Prize for scientific and media contributions
The Central Committee may award the Tuberculosis Prize for the best contribution on the subject of tuberculosis.
The implementation regulations adopted by the Executive Committee apply to the tuberculosis prize.
The Executive Committee decides each year whether the Tuberculosis Prize should be awarded.
VIII. Resolution
If the association is dissolved or its tax-privileged purposes cease to exist, its assets shall be transferred to the Deutsche Lungenstiftung e. V., which must use them directly and exclusively for tax-privileged purposes.
Decisions on how the assets are to be used in the event of the dissolution or termination of the Central Committee or the discontinuation of its previous purpose shall only be implemented after formal approval by the responsible tax office.
